SZA Schilling, Zutt & Anschütz advises Murates on the contemplated acquisition of a magna production site in Bordeaux

A team led by SZA Schilling, Zutt & Anschütz partner Dr Martin Kolbinger has provided extensive support to Mutares SE & Co. KGaA on the German legal aspects in connection with the contemplated acquisition of a production site for transmissions from automotive supplier Magna.

Listed Mutares SE & Co. KGaA has issued a put option in favour of automotive supplier Magna for the acquisition of a production site in Bordeaux (France). The plant manufactures and assembles transmissions for the automotive industry with 740 employees being expected to generate a turnover of approx. EUR 200 million in 2022. Magna may accept Mutares' offer after consultation of the competent works councils. In addition, the completion of the transaction remains subject to merger control clearance.

The team of Schilling, Zutt & Anschütz led by Dr Martin Kolbinger regularly advises Mutares on both the buy-side and the sell-side – including in last year's acquisition of three exteriors plants, also from Magna.

Mutares invests in medium-sized companies and carve-outs in turnaround situations. In the financial year 2021, Mutares Group generated a consolidated revenue of more than EUR 2.5 billion. The shares of Mutares SE & Co. KGaA are traded on the Frankfurt Stock Market.
