Schilling, Zutt & Anschütz advises Silex Microsystems on the aquisition of 200mm wafer fab from Elmos Semiconductor.

A team led by Schilling, Zutt & Anschütz partner Dr Martin Kolbinger has provided comprehensive legal advice to Swedish Silex Microsystems AB in connection with its acquisition of a 200mm wafer fabrication from Elmos Semiconductor SE.

Silex Microsystems will acquire the wafer fabrication activities (Fab) of Elmos Semiconductor at its Dortmund site for a net purchase price of in total EUR 85 million. The transaction further comprises a long-term supply agreement under which Silex Microsystems will supply wafers manufactured in the Fab to Elmos.

Elmos Semiconductor will transfer all relevant assets and contracts that are directly linked to the wafer manufacturing fab into a newly founded stand-alone foundry operation. Silex Microsystems will finally acquire 100% of the shares in this entity. Elmos will also provide infrastructure, utilities, IT support and licenses to Silex based on separate lease, service, supply and license agreements. 

The closing of the transaction is expected to take place in the second half of 2022 and is subject to customary closing conditions and regulatory approvals.

Based in Dortmund, Germany, Elmos Semiconductor SE develops, produces and markets semiconductor products, primarily for use in the automotive industry.
