Schilling, Zutt & Anschütz advises Mutares on the Sale of its Majority Stake in STS Group

A team led by Schilling, Zutt & Anschütz partner Dr Martin Kolbinger has provided extensive advice to Mutares SE & Co. KGaA in connection with the sale of its majority stake in STS Group AG to Italian-German Adler Pelzer Group. The shares of STS Group AG are admitted for trading on the Regulated Market of the Frankfurt Stock Exchange, which also played a role in the context of the transaction. The transaction is subject to, inter alia, merger control clearance.

With production sites in Germany, France, China, Mexico and the US, STS Group is a global system supplier to the automotive industry. The group employs more than 1,800 people. In 2019, it generated a revenue of some EUR 250 million, including the activities comprised by this transaction.

In summer 2020, SZA advised STS Group AG on the sale of its Acoustics division, which was also purchased by Adler Pelzer Group.

Mutares invests in medium-sized companies and carve-outs in turnaround situations, which are sold after a stabilisation and repositioning process due to the implementation of operational improvement measures. In the financial year 2019, Mutares Group generated a consolidated revenue of more than EUR 1 billion and had more than 6,500 employees worldwide. Since then, Mutares has made a number of additional acquisitions. The shares of Mutares SE & Co. KGaA are also traded on the Frankfurt Stock Market.
