SZA Schilling, Zutt & Anschütz advises Renolit SE in the acquisition of the Medical Film division from Austar PharmMed Consumable Limited

SZA Schilling, Zutt & Anschütz advised Renolit SE with its seat in Worms, Germany in the acquisition of the Medical Film division by the Renolit Group from Austar PharmMed Consumable Limited. The production sites of the acquired enterprise are located in the greater area of Beijing, People’s Republic of China. The Renolit Group acquired – directly and indirectly – companies with registered seat in the Hong Kong Special Administrative Region, in the People’s Republic of China and in the British Virgin Islands.

As lead transaction counsel, SZA Schilling, Zutt & Anschütz coordinated a team of lawyers from the aforementioned jurisdictions.

The Renolit Group is an international leader in the manufacture of high-quality plastic films and related products for technical applications.

Involved were Dr. Stephan Brandes and Dr. Dirk R. Reidenbach (both Corporate/M&A) as well as Dr. Rolf Schmich (Tax).

Schilling, Zutt & Anschütz continues its growth of recent years by promoting prior Associate Michaela Balke (Corporate /M&A) to Partner. This promotion presents an expansion of the firm’s traditional field of Corporate Law/M&A.

Michaela Balke (36) has worked at the Mannheim office in the fields of corporate law, group law and M&A since 2005. She provides expert consultation services on transactions in the fields of public and private M&A and advised in this context companies such as, inter alia, Daimler, Südzucker, MLP and the Renolit group. One of her other focal points is the consultation and representation of companies and board members in matters concerning corporate governance, compliance and liability, especially issues following anti-trust investigations or corruption discoveries. In addition, she advises major banks on matters concerning the remuneration of board members.

In this year's JUVE Awards ceremony, SZA Schilling, Zutt & Anschütz won two of the prestigious JUVE Awards 2011. The firm was awarded as “Law firm of the Year for Dispute Resolution” as well as “Law Firm of the Year in Frankfurt and Hessen” at Frankfurt’s Old Opera House. Senior Partner Prof. Dr. Jochem Reichert accepted the JUVE Award 2011. The award for “Law firm of the Year for Dispute Resolution” was substantiated as follows: “Litigation experts speak of SZA Schilling, Zutt & Anschütz with high respect and sometimes also a certain degree of envy. SZA Schilling, Zutt & Anschütz advised RENOLIT in establishing a European Company (Societas Europaea). The former RENOLIT AG has been transformed into the new corporate form of an SE, concluding at the same time an agreement on employee participation in a European Company. The company now trades as RENOLIT SE with its head office remaining in Worms. The change into a European Company emphasizes the international character of the RENOLIT group while maintaining its successful Corporate Governance Structure it had so far.

The RENOLIT group with its about 4000 employees in more than 30 production sites and sales companies worldwide is one of the internationally leading manufacturers of high quality thermoplastic films and similar products for technical application.

After opening a new office location in Frankfurt/Main this past year, Schilling, Zutt & Anschütz continues their growth-course by promoting former Associate Dr. Nicolas Ott (company law/M&A) to Partner.
