Transactions and Restructurings

Transactions and restructurings form an important part of our corporate and group law practice. Aside from any corporate issues arising in connection with acquisitions, divestments or takeovers, we are very active in advising on corporate restructurings. In this regard, focal points of our practice are mergers, demergers, spin-offs, changes of corporate form and reorganizations as SEs as well as advising clients in connection with the realignment of their financial framework (e.g. capital increases or decreases). Our legal advice and representation includes attending to our clients’ needs throughout all phases of such projects: from optimal structuring through preparation and execution of the transaction, defense against possible blockades and potential subsequent shareholder actions.

Corporate Disputes

Representation in disputes – whether before the courts or in arbitration – is another important part of our corporate practice. This includes disputes in connection with conflicts between majority and minority shareholders or executives, deficient resolutions (in particular actions for rescission), procedural disputes in connection with the dismissal of board members or claims for damages against board members, shareholder actions, approval processes according to Sec. 246a German Stock Corporation Act (Aktiengesetz) or Sec. 16 para. 3 German Reorganization of Companies Act (Umwandlungsgesetz) as well as preliminary measures.
