Core advisory services
Our core advisory services in the M&A field include acquisitions and divestments of businesses including due diligence exercises, company takeovers under the German Acquisition and Takeover Act as well as defending against such, the founding, rearrangement and dissolution of joint ventures as well as restructurings of any kind including cross-border mergers. We advise both listed and unlisted companies on domestic and cross-border projects. In connection with the latter, we can rely on our tried and tested cooperation with foreign law firms which, without exception, are among the leading firms in their jurisdictions.
Our China Desk also provides legal consultation for international transactions involving this major foreign market.
Almost all transactions pose difficult legal issues in particular areas of expertise. These may concern labour law, intellectual property, information technology, antitrust law or administrative law. Arbitration and litigation
Our M&A-attorneys also have extensive expertise in representation in disputes and litigation, whether before the courts or in arbitration. They bring this expertise to M&A-projects in which the envisioned measures lead to conflicts (e.g. between shareholders with conflicting interests or blockade attempts by minor shareholders). In addition, we advise clients in connection with so-called post-M&A disputes (e.g. enforcement of or defense against warranty claims arising from share purchase and business transfer agreements).
